Terms of Service

The terms and conditions detailed below apply to viewing, quoting, purchasing, and selling products through www.unitedonesource.com ("Website"). By viewing, placing an order, or purchasing on this website, the customer ("You" or Your") agrees to be bound by and accept these terms and conditions. For any conflict between these terms and conditions with any quote, purchase order, or other purchase, these terms and conditions supersede.

Pricing

United One Source strives to maintain pricing at the lowest level. However, all prices are subject to change. United One Source reserves the right to adjust pricing for reasons including, but not limited to, changing market conditions, discontinuation, unavailability, manufacturer price changes, and errors in advertisements. Prices listed on this website do not include shipping charges, handling fees, service charges, and sales tax. Customers claiming an exemption for sales tax must provide United One Source with the documentation at the time of purchase.

Payment Terms

For commercial accounts, net 15 days from date of shipment unless otherwise agreed. No orders will be processed for accounts past due by 45 days or more. Credit cards (Visa, MasterCard, Discover, and American Express) are accepted for purchases. Payment of accounts must be by check, cash, Check by Fax, or ACH. Credit cards are not accepted for payment of accounts. Returned check fee is $50.00 per check. Past due accounts are reported to Dun & Bradstreet and Lyons.

Returns

For all returns, a Return Merchandise Authorization (RMA) number is required. RMAs can be requested by submitting a support case on our website or contacting our Customer Service team by phone at (800) 338-6679 or by email at customerservice@unitedonesource.com. Be sure to include the reason for the return request. We will promptly review the submission and follow up with a response and an RMA number to authorize the return.

Damaged Product

All claims for damaged products must be made within two days of receipt of goods. When notifying United One Source, please note all damages on the Bill of Lading or the Packing Slip and include them with your return request. A photograph of the damaged goods is required for all damaged merchandise claims.

Non-Damaged Product

For all non-damaged product returns, please submit a support case on our website or by contacting our Customer Service team by phone at (800) 338-6679 or by email at customerservice@unitedonesource.com. Be sure to include the reason for the return request. All return requests are subject to final approval by United One Source and may be subject to a 15% restocking fee based on the value of the returned merchandise. Stock items may be returned if they are in original packaging and resalable condition.

United One Source reserves the right to inspect all returned goods and determine product conditions. A Credit will be authorized and issued after receipt and final inspection. Custom or non-stock special order items will be reviewed on a case-by-case basis. Engineered products specifically designed for custom applications are not classified as standard and cannot be canceled or returned for credit.

Return Shipping

United One Source reserves the right to reject all returns that do not have a valid RMA number displayed on the Packing Slip, Bill of Lading, or Parcel shipping label. Shipping charges for the return of non-damaged items will be at the buyer’s expense unless approved in advance by a representative of United One Source.

Freight

Orders are shipped to FOB shipping point from United One Source warehouses unless other terms have been assigned to an established account. UPS is used whenever possible. However, if the order exceeds UPS size or weight limits, United One Source will use standard carriers to expedite delivery. Inside delivery, liftgate, or residential standard carrier deliveries may incur additional delivery fees at the buyer's expense.

Ownership of Materials, Trademarks, and Copyright

The information contained in this website, including all images, designs, photographs, text, and other materials (the "contents"), are copyrights, trademarks, or other intellectual property owned or licensed by United One Source. The contents of this website may not be copied, republished, downloaded, transmitted, mirrored, or reproduced without the prior written permission of United One Source.

Limitation of Liability

United One Source will not be liable for any indirect, special, incidental, or consequential damages, whether based on contract, tort, or any other legal theory, including without limitation loss of profits, loss of business, or other economic damages. United One Source is not responsible for delays in delivery that result from any circumstances beyond its control. United One Source's aggregate liability shall not exceed the purchase price paid for any products purchased through this website. United One Source has no control over the use of our products by our customers or any third parties. Consequently, we expressly disclaim any liability for loss, damage, or expense of any kind suffered by you, your customers, or any other third parties arising from the sale, use, inability to use, misuse, storage, installation, modification, or enhancement of our products.

UNITED ONE SOURCE MAKES NO – AND IT EXPRESSLY DISCLAIMS ANY AND ALL – WARRANTIES, EXPRESS OR IMPLIED, INCLUDING (WITHOUT LIMITATION) WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

In no event shall United One Source’s aggregate liability exceed the purchase price paid for any products. You shall indemnify, defend and hold harmless United One Source and its subsidiaries, affiliates, officers, directors, employees, and agents from and against all liability, claims, suits, actions, judgments, demands, damages, losses, costs, or expenses of any kind or nature, including (without limitation) attorney's fees ("Claims"), arising of or relating to Your acts or omissions or the sale or use of our products by you, your customers, or any third parties.

Applicable Law

This website is controlled by United One Source from our main offices within Texas, United States of America. By accessing this website, you agree that the laws of the State of Texas, without regard to conflicts of laws principles, will apply to all matters relating to the use of this website and the purchase of products available through this website. Any litigation will be brought exclusively in Dallas County, Texas. The customer consents to the jurisdiction of the Federal and State Courts located therein, submits to the jurisdiction thereof and waives the right to change venue.

Entire Agreement

These terms and conditions constitute the entire agreement and understanding between you, the customer, and United One Source concerning the subject matter hereof and supersedes all prior agreements and understandings of the parties concerning it, including any oral statements made by United One Source representatives or any alternate terms supplied by you to United One Source unless otherwise agreed to by United One Source in writing. To the extent that anything in or associated with the website is in conflict or inconsistent with these terms and conditions, these terms and conditions shall take precedence.
